MEMBERSHIP: ANNUAL, COUPLES
Couples Membership; Term and Monthly Billing
By enrolling in a Couples Annual Membership, the undersigned members (collectively, the “Members”) agree to a twelve (12) month commitment in exchange for a discounted couples membership rate. Membership fees are charged monthly, on the first (1st) day of each month, in equal installments for the duration of the contract term. Both Members are jointly and severally responsible for all fees due under this Agreement.
Material Discount; Early Termination Repricing; No Refunds
The Members acknowledge and expressly agree that the Couples Membership fee reflects a material discount granted solely in consideration of the Members’ commitment to the full twelve (12) month term.
If either or both Members cancel, terminate, or otherwise end the Couples Annual Membership prior to completion of the full twelve-month term for any reason, the discounted couples rate shall immediately be revoked and the membership shall be retroactively repriced as if each Member had enrolled separately in an individual standard
month-to-month membership from the original start date.
In such event, the Members jointly and severally agree to pay:
The difference between:
- The total amount actually paid under the discounted Couples Annual Membership, and
- The total amount that would have been owed if both Members had each maintained an individual standard
month-to-month membership for the same period of use;
plus
A 10% administrative fee, calculated on the recalculated total of the individual month-to-month
membership charges.
This amount shall become immediately due and payable upon cancellation and may be charged to the payment
method on file. No refunds, credits, or chargebacks shall be issued under any circumstances. This provision represents a reasonable adjustment restoring the standard pricing structure applicable to non-annual memberships and is not
intended as a penalty.
Accordingly, THIS AGREEMENT MAY NOT BE CANCELED, RESCINDED, SUSPENDED, TRANSFERRED, OR TERMINATED EARLY WITHOUT TRIGGERING THE FOREGOING REPRICING AND ADMINISTRATIVE FEE,
including but not limited to non-use by one or both Members, illness, injury, relocation, travel, relationship changes, dissatisfaction, or changes in personal or financial circumstances.
Individual Access; No Substitution
The Couples Membership grants access to two specifically named individuals only who must be two spouses registered at the same household address. Membership access is personal and non-transferable, and no
substitutions, guest swaps, or replacements are permitted if one Member is unable or unwilling to use the membership.
Access and Facility Rules Each Member is granted access to gym facilities and standard amenities during normal operating hours, subject to posted rules, capacity limitations, and reasonable operational changes. All Members agree to comply with all facility rules and policies, as amended from time to time. The facility reserves the right to suspend or terminate access for either or both Members due to policy violations or misconduct, without refund.
Assumption of Risk
Each Member voluntarily assumes all risks associated with physical exercise, use of gym equipment, sauna, cold plunge, contrast therapy, and related wellness activities, including risks of injury, illness, dizziness, fainting, hypothermia, overheating, cardiovascular events, or aggravation of pre-existing conditions.
Release and Limitation of Liability
To the maximum extent permitted by applicable law, each Member releases and holds harmless the facility, its owners, operators, employees, agents, and affiliates from any and all claims or liabilities arising from participation in activities or use of the facilities, except in cases of gross negligence or willful misconduct.
Independent Responsibility of Members
Each Member participates independently and assumes individual responsibility for their own health, safety, medical condition, and conduct. A violation, injury, or misuse by one Member shall not relieve the other Member
of obligations under this Agreement.
Non-Transferability
This Couples Membership is personal to the two named Members and may not be transferred, assigned,
divided, or shared with any other individual.
Governing Law and Venue
This Agreement shall be governed by and construed in accordance with the laws of the State of Baja California Sur, Mexico. The parties agree that exclusive venue for any dispute, claim, or proceeding arising out of or relating to this Agreement shall be in the Municipality of La Paz, Baja California Sur, Mexico, and each party irrevocably submits to the jurisdiction of such venue.
Acknowledgment
The Members confirm that they have read, understood, and expressly accepted the discounted nature of the
Couples Annual Membership, the early termination repricing and administrative fee provisions, and the no-refund policy. The Members acknowledge that these terms were clearly disclosed prior to enrollment and agree that they form a fundamental basis of the pricing and conditions offered.
